ARTICLE 1 - NAME

The name of this Club shall be the Cherry Creek Republican Women (CCRW) herein referred to as the Club. This Club is affiliated with the Colorado Federation of Republican Women (CFRW) and with the National Federation of Republican Women (NFRW).

ARTICLE II – PURPOSE STATEMENT

The purpose of this Club, the only official Republican Women’s Group in Arapahoe County, Colorado, is to involve like-minded women in getting Republicans elected to local, state, and federal office by encouraging and publicizing campaign, election and civic engagement opportunities; informing its members and others about current issues that affect them; taking action on issues when warranted; raising money; and providing a platform for candidates and issues in partnership with CFRW, NFRW, and other Republican related club groups and organizations.

ARTICLE III – POLICIES

To the extent possible, the Club is to carry out the purposes of the Republican Party as set forth in the platform adopted by the Republican National Committee and the Republican State platform formulated in accordance with the election laws of the State of Colorado. The Club will also work in concert with the CFRW and NFRW as consistent with their Bylaws.

Section 1. ENDORSEMENT POLICY

A.    The Club as a whole and any member shall not publicly endorse, in the name of the Club, any candidate for public office in contested Republican primaries, runoff elections, special elections, and/or in non-partisan elections when more than one Republican is in the race.

B.    Individual members of this organization may work for the candidate of their choice in contested Republican primaries, but not in the name of the Club, CFRW or NFRW.

C.    The Club shall refrain from any action that would be detrimental to an elected Republican official or certified Republican candidate.

Section 2. MEMBER CANDIDATES An officer of the Club who is a candidate, or whose spouse or family member is a candidate, shall be exempt from the rule in Section 1A above however, they may not campaign or identify themselves in the name of the Club, CFRW, or NFRW or by utilizing the Club, CFRW or NFRW logo or stationery. 

ARTICLE IV – MEMBERSHIP

Section 1. PRIMARY MEMBERSHIP

A.  A Republican woman who accepts the basic philosophy of the Republican Party, is a registered Republican, and who supports the purpose and policies of this Club shall be eligible for membership.

B.  A member in good standing shall be a member who has paid the Club’s required dues for the current calendar year. The dues amount for primary members will be stated in the Club’s standing rules and financial policies and amended as required.

C.  Primary members in good standing automatically become members of CFRW and NFRW.

Section 2. ASSOCIATE MEMBERSHIP

A.    A Republican woman who is a primary member of another Federated Women’s club and who supports the purpose and policies of this Club shall be eligible to become an associate member upon payment of required annual dues. The dues amount for associate members shall be stated in the Club’s standing rules and financial policies and amended as required.

B.    Republican men who support the purpose and policies of this Club may become associate members upon payment of required annual dues.

C.    Associate members have no vote and cannot hold office or chair committees.

1.     Associate members cannot be counted in the total of the Club’s members, as used to determine the number of delegates to be allotted for attendance at CFRW activities, or for the NFRW biennial convention.

2.     Associate dues remain with the Club.

Section 3. REMOVAL FROM MEMBERSHIP Members of the Club may be removed by two-thirds (2/3) vote of the membership for any of the following reasons after investigation by the Executive Committee:

A.    Non-payment of dues.

B.    Any act or omission intended to cause or have the effect of causing damage to the Club, CFRW or NFRW, or their reputation or financial stability.

C.    Failure to uphold the purpose and policies of this Club as stated in its bylaws or acting in conflict with the Club’s bylaws or its membership rules.

D.    Failure to support the Republican Party ticket, advocating for a split ticket, or supporting or advocating for a candidate on an opposition ticket in the name of the Club.

E.    A member who initiates legal proceedings against the Club.

F.     A member who has been removed from membership may request re-admission to membership upon approval by the Executive Committee.

ARTICLE V – DUES

Section 1. FISCAL YEAR The Club’s fiscal year shall be from January 1 through December 31.

Section 2. MEMBERSHIP DUES Membership dues shall be payable no later than December 31 and shall be delinquent on March 1 after which time the member’s name shall be removed from the Club’s roster. Dues collected in November and December shall be applied to the following year’s membership.

Section 3. SERVICE CHARGES The Club shall pay CFRW dues and NFRW per capita dues, the annual service charges on behalf of its members, with the first payment of the year to be made no later than December 31 for the following year.

ARTICLE VI – ELECTED OFFICERS AND DUTIES

Section 1. ELECTED OFFICERS The elected officers of this Club shall be a President, First Vice President, Second Vice President, Recording Secretary, and Treasurer.

Section 2. ELIGIBILITY Each elected officer shall be a primary member in good standing of the Club.

Section 3. VACANCY

A.    An announcement shall be sent to all Club members stating the existence of the vacancy.

B.    Members may submit their name to the Executive Committee for consideration.

C.    All vacancies of an elected office, except the office of the President, shall be filled by a majority vote of the Executive Committee at its first meeting following the creation of a vacancy.

D.    A vacancy in the office of the President shall be filled by the First Vice President.

Section 4. REMOVAL FROM OFFICE Officers may be removed by two-thirds (2/3) vote of the Executive Committee for the following reasons after which the membership will be informed.

A.    An officer may be removed from office for cause or for failure to attend two consecutive Executive Committee meetings and two membership meetings unless excused by the President.

B.    For other reasons, see Article IV Section 3.

Section 5. ELECTION The Club officers shall be elected at the November membership meeting in odd numbered years and shall serve for a term of two years or until their successors are elected.

Section 6. DUTIES OF OFFICERS

A.    The President shall:

1.     Call and preside over all meetings of the Club and the Executive Committee.

2.     Represent the Club or designate someone as representative/proxy in her absence at Republican activities.

3.     Make appointments, as per Article VII, necessary to conduct the business of Club.

4.     Appoint the Financial Review Committee/Auditor annually in December except in the case of a change in Treasurer at which time a complete review will be done.

5.     Be an ex-officio member of all committees except the Nominating Committee and the Financial Review Committee/Auditor.

6.     Be one of two authorized signatures for check disbursements, the Treasurer being the other.

7.     Accept the resignation by written letter or email of any Club member wanting to resign from a Club office, an appointed position, or membership.

8.     The President shall have final authority over all printed materials.

9.     Call meetings of the Executive Committee or a special Executive Committee meeting upon the request of three members of the Executive Committee.

B.    The First Vice President shall:

1.     Perform the duties of the President in her absence.

2.     Fill the unexpired term in the event of a vacancy in the office of President.

3.     Serve as chair of the Membership Committee.

4.     Be responsible for the publication of the annual Member Directory as directed by the Executive Committee.

5.     Perform such other duties as are assigned by the President or the Executive Committee.

C.    The Second Vice President shall:

1.     Perform the duties of the President in the absence of both the President and the First Vice President.

2.     Perform other duties as assigned by the President or the Executive Committee.

3.     Serve as chair of the Program Committee.

4.     Recommend and arrange for speakers or other activities for the monthly membership meetings with the approval of the Executive Committee.

D.    The Recording Secretary shall:

1.     Perform the duties of the President in the absence of the President, the First Vice President, and the Second Vice President.

2.     Keep the minutes of all the Club’s Executive Committee and membership meetings.

3.     Be custodian of the Club’s bylaws, standing rules and policies by preserving these in an accessible receptacle/location.

4.     Perform such other duties as may be assigned by the President, the Executive Committee, or the Club.

E.    The Treasurer shall:

1.     Perform the duties of the President in the absence of the President, the First Vice President, the Second Vice President, and the Recording Secretary.

2.     Act as custodian of all Club funds, petty cash, bank accounts, and membership records and be responsible for safekeeping of Club financial resources and records.

3.     Disburse funds approved in the annual budget or as directed by the Executive Committee. Unapproved expenditures of over $500 must be promptly communicated and/or approved by the Executive Committee.

4.     Be one of two authorized signatures for check disbursements, the President being the other.

5.     Provide written financial reports and bank statements to Executive Committee and Club meetings.

6.     Submit dues, annual service fees, and reports to CFRW and NFRW as required to maintain the Club in good standing.

7.     Submit the financial reports to the Financial Review Committee/Auditor for the annual review by February 15th of each year.

8.     Work with the Hospitality Chair on checking in meeting attendees.

9.     Annually review the financial policies and recommend changes to the Executive Committee as relevant and applicable.

10.  Prepare the annual budget to be presented at the January regular meeting for approval by the membership.

11.  Comply with all federal, state, IRS, and other reporting requirements.

12.  Keep an inventory of the Club’s property.

13.  Perform other duties as assigned by the President and/or the Executive Committee.

Section 7. RECORDS All outgoing officers shall deliver all Club records, files, and properties to their successors no later than January 15th following the election of new officers.

Section 8. OFFICER INSTALLATION Newly elected officers will be installed at the December meeting in the year of the election.

ARTICLE VII – APPOINTED POSITIONS AND DUTIES

Section 1. APPOINTED POSITIONS The President may appoint, with the approval of the Executive Committee, the following positions except the Nominating Committee which is elected by the membership. All appointed positions will serve the same term as the President.

A.    The appointed officers are Parliamentarian, Correspondence Secretary, CFRW Representative, and Historian.

B.    The appointed standing committee chairs are Special Events, Website and Social Media, Hospitality, Financial Review/Auditor, and Bylaws.

C.    The appointed liaisons are Legislation and Community Involvement.

D.    Appointed positions may be changed or added as needed.

Section 2. ELIGIBILITY Each appointed position shall be a primary member in good standing of the Club.

Section 3. DUTIES OF APPOINTED OFFICERS

A.  The Parliamentarian shall:

1.   Advise the Club’s officers, committee chairs, and members on parliamentary procedures.

2.   Be familiar with the bylaws, standing rules, and other relevant policies and procedures of the Club.

3.   Meet with the Bylaws Committee at least once a year for the purpose of reviewing the bylaws.

B.  The Correspondence Secretary shall prepare Club correspondence in coordination with

the President including sending notes of appreciation to speakers following Club events.

C.  The CFRW Representative shall be responsible for communicating information between the Club and CFRW.

D. The Historian shall be responsible to collect and keep all records and documents of significant Club events, media coverage, photographs, and other historical artifacts, and perform other duties as assigned by the President or the Executive Committee.

Section 4. DUTIES OF STANDING COMMITTEE CHAIRS

A.  The Special Events Committee shall be responsible for organizing candidate or other sponsored events hosted by the Club, and coordinate with other like-constituted groups, with Executive Committee approval.

B.  The Website and Social Media Committee shall be responsible for reviewing, suggesting improvements, updating the Club’s website and along with managing social media, coordinating ads with CFRW, and providing budgetary estimates to the Treasurer for inclusion in the Club’s budget.

C.  The Hospitality Committee Chair shall:

1.   Assist members and guests with making reservations and answering questions regarding payments.

2.   Work with the President and Treasurer to provide an accurate number of participants attending membership meetings.

3.   Report to the President of the establishment of a quorum at meetings.

4.   Work with the Treasurer on checking in meeting attendees.

5.   Follow up with participants who failed to attend (no shows) the membership meeting.

D.  The Financial Review Committee/Auditor shall complete a financial review report on or before March 31st of each year and present it to the Executive Committee and membership at their respective meetings.

E.  The Bylaws Committee shall:

1.   Conduct a biennial review of the Club’s bylaws in odd numbered years.

2.   Solicit and receive requests from the membership for proposed bylaw amendments to edit, incorporate or reject.

3.   Submit revised bylaws to the CFRW’s Bylaws Chair for approval.

4.   Submit the bylaws to the membership for a vote to adopt the amendments.

5.   Provide the CFRW’s Bylaws Committee with the Club’s updated bylaws.

Section 5. DUTIES OF APPOINTED LIAISONS

A.  The Legislation Liaison shall be responsible for notifying the Executive Committee and/or the Club of any proposed legislation that supports or opposes Republican values.

B.  The Community Involvement Liaison shall be responsible for informing the Executive Committee and membership about activities sponsored by a municipal council or other local or state elected or appointed entity that may have community consequences for membership.

Section 6. RECORDS All outgoing Club appointed positions shall deliver all Club records, files, and properties to their successors no later than January 15th or to the President if the appointment has not been made.

ARTICLE VIII – MEMBERSHIP MEETINGS

Section 1. REGULAR MEETINGS A minimum of five regular meetings shall be held during the Club year. These meetings shall be held as decided by the Executive Committee. A quorum at Club meetings shall be 25% of the primary membership. At least a 14-days’ notice shall be given to all members for regular meetings.

Section 2. SPECIAL MEETINGS Special meetings may be called by the President at the request of three members of the Executive Committee or by 10% of the primary members of the Club. The purpose of the special meeting shall be stated in the call, with no other business to be transacted at the meeting. At least a five-day notice shall be given to all members for any special meeting. Meetings may be held electronically.

Section 3. ANNUAL MEETING The December meeting will be designated as the Annual

Meeting.

Section 4. NOTICE Notice for all meetings may be mailed or sent electronically.

ARTICLE IX – EXECUTIVE COMMITTEE

Section 1. COMPOSITION The Executive Committee of this Club shall consist of:

A.  The elected officers.

B.  The immediate Past President.

C.  Appointed positions (Article VII, Section 1) shall have no vote.

Section 2. DUTIES The Executive Committee shall transact necessary business between meetings of the Club, approve disbursement of funds, approve appointments made by the President, and perform other duties as needed.

Section 3. MEETINGS The Executive Committee shall meet as determined by the President or the Executive Committee. Special meetings may be called by the President or upon the request of three members of the Executive Committee. At least a 14-day notice shall be given for meetings or five days for special meetings. Notice will be sent electronically. In the event a scheduled in person meeting must be cancelled, it shall be acceptable to hold said meeting by electronic means, with notice provided to all Executive Committee members as soon as possible.

Section 4. QUORUM A majority of the members of the Executive Committee shall constitute a quorum.

Section 5. VOTING A vote of the Executive Committee may be conducted by mail, telephone, email, or other approved electronic means between meetings, provided there is participation by a majority of the members. The vote shall be ratified and entered into the minutes at the appropriate body’s next regular meeting.

ARTICLE X – COMMITTEES

Section 1. EX-OFFICIO MEMBERS The President shall be an ex-officio member of all committees except the Nominating Committee and Financial Review Committee/Auditor but must receive the final report of those committees.

Section 2. COMMITTEE MEMBERS All committee members must be members of the Club in good standing. Assignments for committees may be determined by the President with approval of the Executive Committee.

Section 3. SPECIAL COMMITTEES The President may create special committees subject to the approval of the Executive Committee at any time as it may become necessary and may appoint the chair and members of the special committee without the approval of the Executive Committee.

ARTICLE XI – NOMINATIONS AND ELECTIONS

Section 1. NOMINATIONS

A.  A Nominating Committee of three primary members and one alternate member, all in good standing, shall be elected by the Club no later than September. The Committee shall elect its own chair. The Parliamentarian will instruct the Committee as to proper procedures and will be available for further counsel if required.

B.  The Nominating Committee shall report a slate of one candidate for each office at the regular meeting in October of the year of election of officers, at least 20 days prior to the election meeting. All nominees shall be primary members in good standing of the Club and shall give written consent to serve, if elected. Nominations from the floor shall be in order following the report of the Nominating Committee and immediately prior to the election.

C.  Nominating Committee members shall not succeed themselves.

Section 2. ELECTION OF OFFICERS

A.  Elections shall be by ballot at the regular membership meeting in November, unless there is only one nominee for any office, the election for that office may be held by voice vote after which the President will announce the nominee is elected to the office.

B.  No officer may simultaneously run for more than one office.

C.  Officers may run for a consecutive term except for the Treasurer who may run for two consecutive terms.

ARTICLE XII – COLORADO STATE FEDERATION CONVENTION DELEGATES

Section 1. ANNUAL MEETING The Club shall elect its representatives to the CFRW biennial convention based on the method set forth in the CFRW bylaws.

Section 2. DELEGATE ELECTION The election of delegates and alternates shall take place at the membership meeting before the convention to conform with CFRW certification requirements.

ARTICLE XIII– PARLIAMENTARY AUTHORITY

The rules contained in the current edition of Robert’s Rules of Order, Newly Revised, shall govern the Club in all instances where applicable and in which they are consistent with these bylaws.

ARTICLE XIV – AMENDMENTS

These bylaws may be amended by a two-thirds vote at any membership meeting of the Club, in odd numbered years provided that notice of the proposed amendment(s) shall have been sent to each member 14 days prior to the date of the regular or special meeting.

ARTICLE XV – DISSOLUTION

This Club may be dissolved by a two-thirds vote at any regular or special meeting of the Club, provided that notice of the dissolution has been submitted in writing at least thirty (30) days prior and has been sent to all members of the Club. In the event of dissolution, the Executive Committee shall, after payment of all liabilities of the Club, distribute any remaining assets to CFRW. No funds shall be distributed or inured to the benefit of any officer or member. In the event of dissolution of the Club, all assets shall be assigned in accordance with IRS 527 regulations. The right to use the name of a dissolved club shall revert to CFRW.
